STANDARD TERMS AND CONDITIONS OF SALE


  1. Waiver of Customer's Standard Terms
    The customer explicitly waives the application of their own standard terms and conditions, even if those terms are drawn up or provided after these Standard Terms and Conditions of Sale. Any deviations or amendments to these terms will only be valid if expressly agreed to in writing by Tokyo Style.
  2. Payment Terms
    Tokyo Style’s invoices are payable within twenty-one (21) working days, unless otherwise specified on the invoice or order confirmation. In the event of non-payment by the due date, Tokyo Style reserves the right to charge a fixed interest amounting to ten percent (10%) of the remaining sum due. Additionally, Tokyo Style may suspend the provision of services or deliveries without prior notice in case of late payment.
  3. Debt Recovery
    If payment remains outstanding for more than sixty (60) days after the due date, Tokyo Style reserves the right to employ a debt recovery agency to recover the amount owed. Any legal fees or recovery costs incurred during this process will be the responsibility of the customer.
  4. Withholding Taxes
    In certain countries, withholding taxes may be imposed on the amounts invoiced, in accordance with local tax laws. Any such taxes must be paid by the customer to the relevant tax authorities. Tokyo Style is not responsible for any tax-related costs arising from the country in which the customer is based. The total invoiced amount remains payable in full to Tokyo Style, exclusive of any withholding taxes.
  5. Service Provision and Liability
    Tokyo Style commits to delivering its products and services within the agreed timeframes, doing its utmost to ensure high performance and satisfaction. However, no obligations will be considered as guarantees of achieving specific results. Tokyo Style cannot be held liable for any indirect or consequential losses or damages and is not obligated to act as a third party in any claims or disputes between the customer and an end consumer.
  6. Claims and Complaints
    Any complaints or claims regarding the delivery of goods or provision of services must be submitted in writing via recorded delivery to Tokyo Style’s registered office within eight (8) days of the receipt of goods or completion of services. Complaints made after this period may not be considered.
  7. Governing Law
    All contractual relationships between the customer and Tokyo Style shall be governed exclusively by the laws of Hong Kong. Any disputes arising from these terms shall be resolved in accordance with the applicable laws and courts of Hong Kong.
